Setting Up an SMSF

Required information

Once you start your application, you’ll be unable to return to the application at a later date, so please ensure you have all information ready before commencing.

  1. A name for the SMSF and, if applicable, a name for the company you’re setting up to be the trustee of the fund.
  2. The following information for all members, trustees, and/or directors:
    • Title
    • Legal name (including middle names) – This must be the same as their name on official documentation such as passports, driver’s licenses, etc.
    • Date of birth
    • Place of birth (town and state if within Australia or country only if outside of Australia)
    • Tax file number
    • Contact details (phone number and email address)
    • Street address (where the person normally resides, not a PO Box or their work address)

Understanding your responsibilities

Choosing an SMSF (or any other type of superannuation fund) is a big financial decision, and we expect you have already done a lot of thinking and research before coming to your decision.

In case you haven’t seen this document during your research, the ATO has created the following guide: Thinking about self-managed super. This guide is particularly helpful in making absolutely sure an SMSF is right for you.

You are probably already aware of all the great benefits to having an SMSF, but this document covers the parts that are often less well understood, such as your responsibilities as a trustee or director. Naturally, Intello clients will have our support to meet these requirements, but they do ultimately put a lot of responsibility on you, and we want to make sure all our new clients are very comfortable to take that on.

GST registration

Some SMSFs are required to register for GST i.e. SMSFs with “turnover” of $75,000 pa or more. Turnover is generally related to rental income from property used for commercial purposes, or rental income from business assets such as machinery. Other SMSFs are not required to register for GST, but may voluntarily choose to do so in order to be able to claim “reduced input tax credits” on some of the GST it pays to its various suppliers.

Choosing a fund name

Choosing a name for an SMSF is an exciting step in a member's SMSF journey.

Here are some tips to help you with naming the fund:

  • SMSF names do not need to be unique but choosing a unique name can expedite the ATO's processing of your ABN/TFN application. Common names (e.g.: Smith Family Super Fund) may result in a minimum processing time of 8 weeks.
  • Don’t start the SMSF’s name with “the” or use punctuation or special characters - this can confuse government databases and searches, and slow down the establishment process.
  • The fund name will be available on publicly searchable databases. If you have a public role and an unusual name, we recommend not using your surname.
  • The fund does not need to have 'Superannuation,' 'Super,' or 'Fund' in the name. While not a requirement, using these words is very common and provides an easy way to identify the SMSF among other entities.

Trustee structure

Picking the right trustee structure is a critical decision.
Please note, an SMSF may require a corporate trustee if there are more than 4 members, they will all be involved in the running of the fund and the SMSF is based in NSW, QLD, VIC, WA or ACT.

As the company’s agent, Intello will organise payment of the ASIC Annual Company Fee, prepare and distribute the relevant minutes and facilitate any changes to contact details for the company’s Directors. Heffron will also act as the Registered Address for all ASIC correspondence.

New Company Details

The name for the new company cannot be identical to the name of an existing company and cannot contain certain characters or terms. Please refer to ASIC for more information.

Intello is typically appointed as a company’s ASIC agent and registered office. As the company's agent, Intello will organise payment to ASIC for the annual company review fee, prepare and distribute the relevant minutes and facilitate any changes to contact details for the company's directors. Intello will also act as the registered address for all ASIC correspondence.

For security reasons, please provide a unique email address for each member/trustee. Shared email addresses will not be accepted.
Roles

Tips on role selection:

  • Members - These are the people who have super in the SMSF. There can be no more than 6 members and normally all members are also the trustees / directors. It can be different under particular circumstances so please check with us if you’re not sure.
  • Directors/trustees - The directors/ trustees are officially in charge of the fund. Generally they are the same as the members. In some circumstances there may be a director of the company who is not a member of the fund. In particular, if there is only one member of the fund and it has individual trustees, there must be another person who is also a trustee.
  • Shareholders - Shareholders own the trustee company. There is no specific requirement that all the members or directors also own shares but it is common. Usually the members, directors and shareholders are all the same people and all of them have the same number of shares.
  • Secretary - There are no specific rules about who must be the secretary of the company but if the company has at least two directors, two secretaries would normally be appointed.
(For some guidance, people generally either select: 1 share each or A number of shares divisible by the number of beneficiaries each person has (e.g.: 3 children = 6 shares)

The services provided by Intello are limited to those requested on this application as instructed by the trustee(s) or director(s) of the corporate trustee and member(s).
  • where requested, authorise and instruct Intello to electronically complete and lodge an ABN & TFN application, and a Notice of Election for superannuation funds (to register the fund as a regulated self managed superannuation fund), with the Australian Taxation Office using the information provided in the application and:
    • declare that:
      • the SMSF is established on the establishment date as specified in the executed Trust Deed that established the SMSF
      • the SMSF’s sole purpose is to provide superannuation benefits to members upon reaching a prescribed age or upon their retirement or death or other cessation of employment
      • the SMSF holds an asset (either tangible or intangible) on the establishment date
      • the SMSF is entitled to an ABN and I/we confirm my/our understanding of the ABN obligations
      • the SMSF is an Australian resident for tax purposes
      • the SMSF intends to be an SMSF for 12 months or longer
    • elect that the Superannuation Industry (Supervision) Act 1993 is to apply in relation to the SMSF, and understand that this election is irrevocable
    • declare that no individual trustee/director or secretary of the Corporate Trustee:
      • has been convicted of an offence in relation to dishonest conduct in the Commonwealth or any state or territory or foreign country
      • has ever had a civil penalty order made against them
      • is an undischarged bankrupt
      • has been notified that they are a disqualified person by the ATO or APRA
    • in the case of a Corporate Trustee only, declare that:
      • it has no grounds to suspect that a director or secretary is a disqualified person
      • a receiver or receiver and manager has not been appointed to the company
      • a restructuring practitioner has not been appointed to the company
      • the company has not been placed under official management nor has a provisional liquidator been appointed
      • the company is not being wound up
    • declare that each trustee/director of the corporate trustee is aware that a trustee declaration must be signed within 21 days of commencing duties
